Management Structure

The Board of Directors

Hoffmann Foundation is both a registered charity and a company limited by guarantee. Board members are therefore both Trustees and Company Directors. They have legal and financial responsibility for the Foundation although many powers are delegated to the Chief Executive who delegates to other staff. The Board meets six times per year and there is also a Finance and Development sub-committee which meets every two months.

At present there are seven Directors, all elected at the Annual General Meeting. The officers are Chair and Treasurer and the Directors have a range of skills and experience including public service, business, finance, law medical skill and knowledge of disability. All Directors are volunteers, so receive no remuneration and all have been through a recruitment procedure similar to the staff. The Foundation also has Members who are entitled to vote at the AGM.

There is a code of conduct which says that Trustees/Directors have a duty to act in the best interest of the Foundation.
